Beta License (Current)

Grant of License

This Beta License Agreement ("Agreement") is entered into between LuceData ("Company," "we," "us," or "our") and you ("User," "you," or "your").

During the beta period, we grant you a limited, non-exclusive, non-transferable, revocable license to use LuceData desktop application ("Software") free of charge for evaluation and testing purposes.

Beta Program Terms

1. Free Access: The Software is provided free of charge during the beta period
2. Evaluation Purpose: The Software is provided for evaluation, testing, and feedback
3. No Warranties: The Software is provided "AS IS" without warranties of any kind
4. Beta Status: The Software may contain bugs, errors, and incomplete features
5. Feedback: By using the Software, you agree to provide feedback and suggestions
6. Revocable: We may revoke your access at any time without notice

Permitted Uses

You may:

• ✅ Install and use the Software on devices you own or control
• ✅ Use the Software for personal or internal business purposes
• ✅ Provide feedback and report issues
• ✅ Use with your own AI model API keys (BYOM)

Prohibited Uses

You may not:

• ❌ Reverse engineer, decompile, or disassemble the Software
• ❌ Modify, adapt, or create derivative works
• ❌ Distribute, sublicense, lease, rent, or lend the Software
• ❌ Remove or alter proprietary notices or labels
• ❌ Use for illegal or unauthorized purposes
• ❌ Sell or commercialize the Software or your access
• ❌ Use to create competing products

Intellectual Property

All intellectual property rights in the Software, including but not limited to copyrights, trademarks, trade secrets, and patents, are owned exclusively by LuceData and its licensors.

Data and Privacy

• Local Storage: Your database credentials and API keys are stored locally on your device
• No Cloud Sync: We do not access, store, or transmit your sensitive data
• Registration Data: Your registration information is governed by our Privacy Policy
• Telemetry: Anonymous usage data may be collected to improve the Software (opt-out available)

Termination

This license is effective until terminated. We may terminate this license at any time. Upon termination, you must:

1. Cease all use of the Software
2. Uninstall the Software from all devices
3. Destroy all copies in your possession

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Software will be error-free or uninterrupted
• Defects will be corrected
• The Software is free of viruses or harmful components
• Results will be accurate or reliable

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LUCEDATA BE LIABLE FOR:

• Any direct, indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from use or inability to use the Software
• Any claim by a third party

OUR TOTAL LIABILITY SHALL NOT EXCEED $100 USD.

Indemnification

You agree to indemnify, defend, and hold harmless LuceData from any claims, liabilities, damages, losses, or expenses arising from your use of the Software or violation of this Agreement.

Commercial License (Future)

Upon release of the commercial version, separate license terms will apply. Commercial licenses will include:

Commercial Standard License (Planned)

Features:

• Perpetual or subscription-based licensing
• Custom database-specialized AI model (updated weekly)
• BYOM option (Bring Your Own Model) available
• Priority support
• Commercial use permitted
• Regular updates and patches

Terms:

• License per user or per organization
• Pricing announced before commercial release
• Annual subscription or one-time purchase options
• Educational and non-profit discounts available

Commercial Enterprise License (Planned)

Additional Features:

• Team collaboration features
• Centralized license management
• Advanced security and compliance features
• Dedicated support and SLAs
• Custom integrations
• Training and onboarding

Terms:

• Custom pricing based on organization size
• Volume discounts
• Custom contract terms available

Beta to Commercial Transition

• Notice: We will provide at least 30 days' notice before ending the beta period
• Migration: Beta users will receive information about commercial licensing
• Data: Your local data and settings will be preserved
• No Obligation: Beta participation does not obligate you to purchase commercial licenses
• Preferential Pricing: Beta users may receive special pricing (at our discretion)

Open Source Components

LuceData incorporates open source software components. A complete list of open source licenses is available in the application under Help → About → Open Source Licenses.

• Monaco Editor - MIT License
• React - MIT License
• And others (see full list in application)

We comply with all applicable open source licenses and acknowledge the contributions of the open source community.

Export Compliance

You agree to comply with all applicable export and import laws and regulations. You may not export or re-export the Software except as authorized by United States law and the laws of the jurisdiction in which the Software was obtained.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Updates to This License

We may update this license from time to time. For the beta period, continued use of the Software after updates constitutes acceptance. For commercial licenses, updates will be communicated according to the terms of your specific license agreement.

By downloading, installing, or using LuceData, you acknowledge that you have read this License Agreement, understand it, and agree to be bound by its terms and conditions.
